Terms & Conditions
These Terms & Conditions (“Terms”) govern your access to and use of Umbrela (the “Service”) at umbrela.dev, operated by Umbrela (“we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
Umbrela is a software platform that uses artificial intelligence to generate faceless short-form and long-form videos — including script, voiceover, imagery, captions, thumbnails and metadata — and can publish them to third-party platforms (such as YouTube) on your behalf, instantly or on a schedule.
2. Eligibility & Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for the security of your account credentials and for all activity under your account. Provide accurate information and keep it current.
3. Subscriptions & Billing
Paid plans are billed in advance on a recurring basis (weekly or as stated at checkout). Plans renew automatically until cancelled. Fees are non-refundable except where required by law. We may change pricing with prior notice; changes apply to the next billing cycle.
4. Acceptable Use
You agree not to use the Service to create, generate, or publish content that:
- depicts or impersonates real, identifiable people without rights or consent, or uses real logos, trademarks or copyrighted material you do not own;
- is unlawful, defamatory, hateful, harassing, sexually explicit involving minors, or that incites violence;
- spreads misinformation presented as fact, or impersonates a person or brand;
- violates the terms, policies or community guidelines of any platform you connect (e.g. YouTube);
- infringes any third party’s intellectual property, privacy or other rights.
You are solely responsible for the topics and prompts you submit and for the content you choose to publish.
5. AI-Generated Content & Ownership
Subject to your compliance with these Terms and payment of applicable fees, you own the videos you generate and may use them for your own purposes. You are responsible for reviewing all output before publishing. AI output may contain inaccuracies; you must verify factual claims, especially for news and sports content.
6. Third-Party Platforms
When you connect a third-party account (such as YouTube via Google OAuth), you authorize us to publish content and manage uploads on your behalf using the access you grant. Your use of those platforms is governed by their own terms. You may revoke access at any time from your account settings or the platform’s security page. We are not responsible for the actions, policies, availability, or decisions (including removals or strikes) of third-party platforms.
7. Intellectual Property
The Service, including its software, design and branding, is owned by us and protected by law. We grant you a limited, non-exclusive, non-transferable licence to use the Service in accordance with these Terms.
8. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that generated content will be accurate, suitable, or accepted by any platform.
9. Limitation of Liability
To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, data, or goodwill. Our total liability for any claim relating to the Service will not exceed the amounts you paid us in the three (3) months preceding the claim.
10. Termination
You may cancel at any time. We may suspend or terminate your access if you breach these Terms or use the Service unlawfully. Upon termination, your right to use the Service ends; certain provisions survive termination.
11. Changes
We may update these Terms from time to time. Material changes will be posted here with a new “Last updated” date. Continued use after changes constitutes acceptance.
12. Governing Law
These Terms are governed by the laws of [your jurisdiction], without regard to conflict-of-law rules. Courts located in [your jurisdiction] will have exclusive jurisdiction over disputes.
